IX.         \nARBITRATION CLAUSE AND CLASS ACTION WAIVER \u2013 IMPORTANT \u2013 PLEASE REVIEW AS THIS\nAFFECTS YOUR LEGAL RIGHTS<\/strong><\/p>\n\n\n\n

BINDING ARBITRATION NOTICE:<\/strong>  You and the Company agree that if there\nis any dispute or claim arising from or related to the Website, our Services\nand\/or these Terms & Conditions will be resolved by confidential binding\narbitration, rather than in court, after first giving Notice of the Dispute\n(Notice) to the other party and the opportunity to discuss resolution within\nthirty (30) days of such Notice.  The Notice to the Company should be sent\nto:  TalentRise, Inc., Attn: Privacy Office, 250 International Drive,\nBuffalo, NY 14221.  The Company will send any Notice to you to the\nphysical address we have on file associated with your Excellus account; it is\nyour responsibility to keep your physical address up to date.  This Notice\nmust include a description of the nature and basis of the claims the party is\nasserting and the relief sought.<\/p>\n\n\n\n

If you and the Company are unable to resolve\nthe claims described in the Notice within 30 days after the Notice is sent, you\nor the Company may initiate arbitration proceedings.  There is no\njudge or jury in arbitration, and court review of an arbitration award is\nlimited.  However, an arbitrator can award on an individual basis the same\ndamages and relief as a court (including injunctive and declaratory relief or\nstatutory damages) and must follow the provisions of these Terms &\nConditions as a court would.  YOU ACKNOWLEDGE THAT YOU ARE\nVOLUNTARILY AND KNOWINGLY FORFEITING YOUR RIGHT TO A TRIAL BY JURY AND TO\nOTHERWISE PROCEED IN A LAWSUIT IN STATE OR FEDERAL COURT.<\/strong><\/p>\n\n\n\n

The Federal Arbitration Act and federal\narbitration law apply and the American Arbitration Association (AAA) will\nadminister the arbitration under its Commercial Arbitration Rules and the\nSupplementary Procedures for Consumer Related Disputes.  Payment of all\nfiling, administration and arbitrator fees will be governed by the AAA\u2019s rules.<\/p>\n\n\n\n

CLASS ACTION WAIVER: YOU AND THE COMANY AGREE\nTHAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL\nARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT\nOR CLASS-WIDE ARBITRATION<\/strong>.If\nfor any reason a claim proceeds in court rather than in arbitration, we\neach waive any right to a jury trial.<\/strong>  We also both agree that\nyou or we may bring suit in court to enjoin infringement or other misuse of\nintellectual property rights.<\/p>\n\n\n\n

X.           \nSEVERABILITY<\/strong><\/p>\n\n\n\n

To the extent that any provision of these\nTerms & Conditions is deemed to be unlawful, void, or unenforceable,\nincluding the binding arbitration clause and class action waiver, such\nprovision shall nonetheless be enforceable to the fullest extent permitted by\napplicable law, and the unenforceable portion shall be deemed to be severed\nfrom these Terms & Conditions, such determination shall not affect the validity\nand enforceability of any other remaining provisions.<\/p>\n\n\n\n

XI.         \nTERMINATION<\/strong><\/p>\n\n\n\n

These Terms & Conditions are effective\nuntil terminated.  We may terminate this agreement at any time without\nnotice to you and may deny you access to the Website and Services.<\/p>\n\n\n\n

XII.       \nINDEMNIFICATION<\/strong><\/p>\n\n\n\n

XIII.     NO THIRD-PARTY\nBENEFICIARIES<\/strong><\/p>\n\n\n\n

There are no third-party beneficiaries to the\nTerms & Conditions.  We shall have the right to assign our rights or\ndelegate any of its responsibilities under these Terms & Conditions to an\naffiliate or in connection with a merger, consolidation, or reorganization for\nthe sale of substantially all of our assets.<\/p>\n\n\n\n
